By accessing or using Bixie's AI agent platform and related services (the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access or use our Services.

These Terms apply to all visitors, users, and others who access or use the Services, including but not limited to individual users, business entities, and organizations.

Bixie provides an AI agent platform that enables users to create, deploy, and manage automated workflows across various business processes including finance, HR, engineering, and compliance operations.

Our Services include:

• Natural language workflow configuration
• AI-powered automation agents
• Human-in-the-loop approval mechanisms
• Integration with third-party applications and services
• Analytics and reporting capabilities
• API access and developer tools

To access certain features of our Services, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Use the Services for any illegal, harmful, or fraudulent purpose

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You retain ownership of your data. By using our Services, you grant us a limited, non-exclusive license to access, use, and process your data solely to provide the Services and as described in our Privacy Policy.

We implement enterprise-grade security measures and are working towards SOC2 Type II compliance and ISO 27001 certification to protect your data.

The Services and their original content, features, and functionality are and will remain the exclusive property of Bixie and its licensors. The Services are protected by copyright, trademark, and other intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes.

You may not modify, reproduce, distribute, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as permitted by these Terms.

Certain features of our Services require a paid subscription. By purchasing a subscription, you agree to:

• Pay all applicable fees as described on our pricing page
• Provide accurate billing and payment information
• Authorize us to charge your payment method for recurring subscriptions
• Notify us of any changes to your payment information

Subscriptions automatically renew unless cancelled. You may cancel your subscription at any time through your account settings or by contacting us at billing@bixie.ai.

All fees are non-refundable except as required by law or as specifically stated in these Terms.

We strive to maintain high availability of our Services but cannot guarantee uninterrupted access. We may temporarily suspend or restrict access for maintenance, security, or other operational reasons.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will make reasonable efforts to notify users of significant changes that may affect their use of the Services.

Our Services use artificial intelligence and machine learning technologies. While we strive for accuracy, AI systems may produce unexpected or incorrect results. You acknowledge that:

• AI-generated outputs should be reviewed and validated before taking action
• Human oversight and approval gates are recommended for critical decisions
• You are responsible for the outcomes of automated workflows you create
• We do not guarantee the accuracy, completeness, or reliability of AI outputs

To the fullest extent permitted by applicable law, Bixie shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:

• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from unauthorized access to or alteration of your data
• Damages resulting from the failure of AI agents or automated workflows
• Damages resulting from third-party integrations or services

Our total liability for any claims arising from or related to these Terms or the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless Bixie and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use or misuse of the Services
• Your violation of these Terms or applicable laws
• Your infringement of third-party rights
• The content and data you upload or process through the Services

Either party may terminate these Terms at any time. We may terminate or suspend your access immediately, without prior notice, if you breach these Terms.

Upon termination, your right to use the Services will cease immediately. We will provide reasonable opportunity for you to export your data, subject to our data retention policies.

These Terms shall be governed by and construed in accordance with the laws of Victoria, Australia, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Services shall be resolved through binding arbitration or in the courts of Victoria, Australia.

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Services. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms.
